Microsoft has a link on its website for troubleshooting Activesync. I would suggest you check it and follow it's instructions for troubleshooting. You may want to close your McAfee and see if it makes a difference.

If you decide to go back to windows 2003se there is a posting thread that will assist you in the process. Dell has a file that will assist in turning back to wm2003se.
