I got VPN working fine with 2k2. With WM2k3 it works perfect! Very simple to setup when compared to 2k2. Active sync works seamlessly too! Would recommend upgrading to anyone.
With any OS upgrade you may run in to some kind of compatibility issues, mostly minor but usually easily resolved plus, I think WM2k3 is worth the upgrade.
