The disk could be defective. If you cannot get AS to install, download the Axim USB driver from Dell and ActiveSync 3.7.1 from M$. If you don't already have Outlook, you might want to try installing it from the disk. It will be more difficult to work around not having a licensed copy of it.
Even if the downloads work, I'd contact Dell about getting a replacement disk.
