Not much really, CF I is smaller, 3.5mm where CF II is 5mm. They have the same pin-outs.

You can get a "microdrive" hard drive for the CF II which has 1Gig of storage, with 4Gig drives on the way.

I have seen CF II memory cards up to 1Gig.

I don't think there is any other differences.
