Lord Of The Rings is an enourmously long movie, you're probably not going to get the best quality out of it and still fit it inside the 256MB (well, 240MB actually).

The only things you can try are:

In the advanced options, check "B-Frames", "xvid", "OGM with ogg audio stream" and "2 pass encoding" (these will give better quality, although will be slower to encode).

Once you've done that, select your input file, and adjust the audio and video quality sliders until it fits within 240MB.

Personally I'd use Audio=4 at a minimum to get decent quality stereo sound.

If you then can't get the video size to less than 240MB odd then basically, the video is just too long to get into that space... as I say, LOTR is a VERY long film, perhaps not the best one to try and fit inside 240MB.
