If you click Start\control panel\add/remove programs ... remove ActiveSync and re-boot.
Then try instaling ActiveSync if you follow the instructions it will tell you when to plug in the PPC.
If you have a Firewall you may find that 2 files (can't remember their names just now) will need to 'pass through' as these 2 files use TCP/IP to interact with both the PC and the PPC.
