Did you reinstall active sync and remake you link to your PDA when you upgraded to 2002?

Have you got another PC you can sync with? Basically you should try to locate the problem as to whether it is in the PC (so active sync or outlook) or the PDA.

Also what is Medusa3.8?
What antivirus software have you got?
Do you run Windows XP SP2 or any other firewall? if you are then you may need to allow access through the firewall for wcesmgr... it should have asked you at some stage if you wanted to allow this.

Maybe you should read this thread -> it is the same problem you are having but it turned out to be Panda antivirus. Here is the crux of it:

I really got an answer from Panda (finally!), and..

The best thing is: it's not even proprietary, so I can post it on the board,
so here it is:
The problem (my problem, that is) arises when you upgrade from Panda (some
older version) to Panda Titanium or Platinum 2005. There they have changed
the way Outlook scanning is performed, but did not properly deregister a DLL
.
So you have to go to http://cexx.org/lspfix.htm and download the tool
"LspFix".
When you start that tool, you will see a list of dlls, one of which is
"pavlsp.dll". CHeck the "I know what I am doing"-box (nice thing to provide
that, indeed!) and move the dll from the "Keep" list to the "Remove" list,
press finish, reboot, and ActiveSync is on the road again!

I could imagine that this tool could be helpful in other problem areas with
ActiveSync, so you might want to bookmark the URL.
