The feature sets overlap but they are not the same.
Pocket Plus has a task manager with the ability to close programs but also gives you today plugins for monitoring memory, battery life, and storage card capacity. There is also an application launcher.

WA2 gives you a task manager and a cascading Start Menu similar to WinXP. It too gives monitoring icons but they appear in the Title Bar and not on the Today screen.
It also gives you the ability to skin the entire PPC interface.

You can run both programs but you should disable the Task managing capabilities of SPB (You should never run two task mangers -- it is a waste of resources and a conflict just waiting to happen).

I myself run WA2 along with Battery Pack, a very similar program to SPB Pocket Plus.
