Strange audio problem with Pocket-DVD Studio

Hello fellows,
First, no I don't want to use Pocket DivX Encoder.
It given me nothing but a headache and some audio sync problems.
I'm using Pocket-DVD Studio 3.5 Build 08 with the latest codec available on pqdvd.com site.

When encoding files, regardless to the settings that I'm using,
( Xvid, Dvix, Higher\Lower audio level, Lower\Higher bitrate, 1 pass encoding, 2 pass encoding, 24NTSC, 25PAL ) I'm getting this annoying statics on the encoded file audio track.

Here are 2 sample files. ( 2MB each \ 30 sec ) which describe the problem best.

The static sound is audible on any computer I run the encoded file.
The static sound does not appear when I'm using other encoding tool, but, as I said, Pocket-DVD Studio is the one I desire.

Any one encountered with this kind of problem ?
Any one can suggest a bypass to this problem ?

Edit :
The original file is in VOB format and located on the hard drive.
When played, The VOB file sounds just fine.
I tried to encode directly from the DVD with the same problem.
