It sounds as though you have 2 problems. Solve the first one first, then the second. Don't try to solve them both at the same time.
1) Install Outlook 2003 and all service packs. Move your current e-mails from Outlook Express to Outlook. Configure Outlook as your e-mail client. Remove Outlook Express from your PC.
2) Install ActiveSync V4.1, and configure your Axim to allow it to synchronise with Outlook on the desktop PC.
