Just got e-mail from the Tonaya folks
Hello,
Please check if your Pocket PC registry
"HKLM\Windows CE Services\Synchronization\objects\WTGSync"
still exists. If it does, please delete it (this registry should be empty).
It could be this line will not let you sync successfully.

It worked like a charm - deleted this registry -
It appears this was a left over from a previous version -
and now everythings works great.
More than that Wheather to Go 4.0 works like a charm -
That is very nice customer service -
especially since this one is a freeware.
