If you are running ICBAR it should be pretty easy.
1. Find the image you want to use and format it to be 240 pixels wide by 320 pixels high. Almost any graphics program can do this.
2. Next you need to break the image up into 3 pieces. The top bar is 26 pixels high by 240 wide, as is the bottom. The middle will then be 268 pixels high and 240 wide. It is probably best to take your 240x320 image and then save out these three as separate files.
3. Use MS theme generator and create a theme with your 268x240 image and desired font colors.
4. Put the files on your Ax.
5. Assign the top and bottom with icbar and load your new theme.
6. Enjoy.
That should do it, I thin I have covered everything, although I may have missed something. Feel free to correct anything I missed out.
There is some good info here in a brighthand thread. It is a little long but at some point they describe about everyhting. The very end of this thread (Well, right now anyway) has some good tips and a template.
