it's 29 bucks. Whether it's worth it is up to you. Once the WM2k3 only programs begin to make their appearance, you'll suddenly see things in a different light and wish you had upgraded. M$ will make sure of that. The differences in architecture are considerable, and Win CE.NET is really a lot more powerful than Win CE 3.0 (on which PPC2k2 is based).
On a more practical approach, the Dell implementation is still not quite up to par with their competition.

Because you're a tech zealot who always has to have the latest and greatest ;)
Or because you're working with 802.11 networks and could really use a standardized way to communicate with WLAN NICs. NDIS 4.0 has not wireless support and consequently, every manufacturer did things differently which makes it a major pain in the ass for any programmer trying to work with that stuff.
