ActiveSync 3.8 wont install (hangs) on XPSP2

Subject says it all.

1. Take a bare-metal system. Install XP, SP2 and all updates.
2. Install active Sync 3.7 from Dell disk. Installs OK
3. Install other Microsoft software (Visual Studio etc.)
4. Try to install ActiveSync 3.8

It downloads, it says "copying files", but then you get an hour glass for about 15-20 seconds and then it simply disappears.
Task manaager shows setup.exe is still running as is is_setup.

What is the way around this? I'd tried clearing the temp directory, using safe mode, nothign works and the only way I can (so it appears) upgrade ActiveSync is a bare metal re-install?

Try uninstalling AS 3.7, reboot, then try to install 3.8.

I had to uninstall 3.7 to get 3.8 to install. After I did that it worked perfectly.
