Decided to go for a new X51v to replace my aging and ailing X5.
Uninstalled 3.8 and installed Activesync 4.0 off the Dell CD. Unit would establish a connection just fine, but never go beyhond an initial "Retrieving Settings" alert, no matter how long I let it try.
Here's what I've done:
Uninstalled Activesync 4.0 and reinstalled - once using the Dell CD and once using a direct download from MicroSoft. Disabled antivirus when installing...
Tried my X5 - established a partnership right away - no problem
Tried a co-workers X50v - established a partnership right away - no problem
Hard reset the X51v a couple times - no change
I'm stumped - Dell tech support is reading the usual script, and I'm about 20 steps ahead of them...
search for activesync 4.1.... this may fix you trouble.

The X51v usb-based connection comes up in Network Connections as a "Windows mobile-based Device" - I notice that the X50v does not set up a network connection. So there's at least one fundamental difference between the X50 and X51 with WM5. The name of the unit comes up in the AS4.0 dialog, and I can look up the assigned IP off of the network connection and ping the unit from my desktop. So I know the network connection is getting made, but the sync task doesn't kick off.
MS readme that came with the AS4.1 identifies desktop firewall ports that have to be open - but I'm not running a local firewall. Readme also indicates that AS has trouble with some Antivirus software - I disable and the problem remains.

I read somewhere on Microsoft's site that if you want to use a WM2003 device along with a WM5 device, you must first install ActiveSync 3.8 and then install AS 4.0 on top of it. 3.8 contains some necessary drivers for a WM2003 device to operate properly with AS 4.0. I did it that way and both devices partner just fine.
I had the exact same problem.. X51v creates a network connection.. no partnership. Called Dell.. they had no clue, and overnighted me another one. Turns out I figured it out in the meanwhile.
My issue was that I have my work's VPN software installed on my home PC. This software (checkpoint - secureclient/secureremote) "binds" to the new network adapter, and requires it to be bound to the new adapter when connected to my work's network. I did this:
Start > My Network Places > View Network Connections > Right Click on the 'Local Area Connection' that shows as the Axim (mouseover will tell you this) > Properties. Once here, uncheck the VPN software (in my case CheckPoint SecureRemote). Take the Axim out of the cradle, then replace it in the cradle a few seconds later.
I hope this is your issue as well. If it is, remember to check off the box, if you want to ever connect to your VPN successfully again.
When I decided to go back to activesync 3.8 from 4.0, I couldn't get my device to activesync anymore. Turns out that the 4.0 uninstaller leaves an active dll in the windows directory that affects any other version of activesync. I had to rename the dll, reboot, and then install the activesync version I wanted. I don't remember the dll offhand... Could this be your problem?
update: it may be these files: RAPI.DLL and CEUTILS.DLL
rapi.dll and ceutil.dll solved my issue. i just got a 51v...LOVE it! Especially now that this issue is gone. i had same issue...Activesync would just sit and spin. Got rid of the old .dlls and then rebooted loaded 4.0 and bang we are there
Updated: Ok I had a no sync after that first sync so today i added Activesync 4.1 and yes now i have sync. Truly a blessed thing

I had exactly the same problem. I installed the ActiveSync from the Dell CD on to a Dell Latidue D400 laptop. The ActiveSync would just sit a spin and not connect. Pluged in my iPAQ 2755 and it connected no problem. I then tried to sync usig IR again no connection. I then sent to the Laptop a note using the IR from the X51V and it got the note. Tried to IR sync again and it connected. Then I tried the USB Sync still just a spinning icon.
Re installed the ActiveSync from the CD and on the third try it loaded some additional USB drivers from the CD. Restarted the computer still no Sync. Then I did the IR sync and it created a new partnership. Then the USB Sync finally worked.
Still have some issues with ActiveSync. If I disconnect the X51V from the USB cable and then reconnect it latter sometimes it will not sync. The only recovery is to restart the Laptop.
The iPAQ has no problems syncing even when the X51V will not.
No I am not a fan of either Dell or HP - I just want them to do what they were ment to do.
Activesync 4.0 installed just fine on my desktop at home last night, so I zeroed in on the laptop as the problem. The release notes for 4.1 mentioned that LAN management utilities could conflict - so under the network connection properties, I saw "Deterministic Network Enhancer" included in the list. I unchecked this, and all is well.
Specific thanks for this message. After I disabled "Determinstic Network Enhancer", I sent a quick not to my System Admin that was helping me. His reply included:
"The Deterministic Network Enhancer is the network connection created by the VPN (Cisco) installation to get an IP and re-apply the VPN Server IP to the machine when connected. "
So your advice about disabling the VPN binding was right on.

So if I disable the VPN (CISCO also) how do I sync and get email at home or on the raod from my work server?
My iPAQ does it no problem but the Dell X51V with WM 5 can't sync while the VPN is active so I can't get email (IMAP4) or sync to the server.
I can only sync when VPN ios disconnected the activesync needs Attention and gives me an error 608.
