Okay, this may sound wierd, but my X51v sounds the activesyn "chime" like it wants sync every 5 minutes or so.
I did the "fake server" with my x51v. Everything says "manual."
It's running on A06.
I can only explain it that it "chimes" like you would expect to hear when it is syncing; BUT the green activesync swirl (on the computer) is NOT spinning and the arrows on the top right side of the X51v are pointing in opposite directions which indicates that the activesync is currently re-aligning (hope that's what you call it).
It seems to send files back and forth between the computer and the X51v just fine. BUT the maps for the DELL GPS system that I have are finicky and don't always transfer properly (like, sometimes not at all).
Okay, I set the Activesyn on the side of the desktop and played on the computer with the rest of the screen. The X51v IS SYNCING, every 5 or so minutes. I couldn't have done the "fake server" right.
OK so I'm *not* crazy! :) I just upgraded to wm5 on my x50v and I'm getting this same thing. I didn't have to do the fake server hack tho since I have a real exchange server to sync with, and I do have it set to manual. I turned off all sounds for system events, and even checked the sounds that you can modify, and none of them seems to be the sound I'm hearing all the time. The chime happens even if I have wifi turned off....

The "fake server" hack is only supposed to work while the device is OFF the cradle !!! ... if you have your device docked ..expect it to sync at intervals !!!

I am having exactly the same problem. The ActiveSync chime plays every few minutes, even when it is NOT cradled! The chime is also played when it is turned-off (in standby mode). Very spooky indeed.

I thought that might be the problem, so I did the fake server while the PDA was off of the cradle. For the tech morons, like me, it isn't obvious that the thing should be out of the cradle.
I have a "real" server defined, not a fake one, and it's set to sync manaully, not according to a schedule. Let me know if I'm wrong, but it would seem to me that having a real server that I sync with defined in there would preclude the need for me to do the fake server hack, which is just to allow the setting of the schedule to "manually" anyway, right?
Could it be that the chirping will happen if I do a server sync that doesn't finish completely or requires attention afterwards? I've noticed now that sometimes I hear the chirping when listening to podcasts during my commute, and sometimes I don't, so at this point I'm trying to figure out what exactly makes this happen if it isn't a scheduled sync trying to run.

there are third party software that required update at interval ( avantgo ... rss...news...etc ...)... check your device to see if any of those is the culprit.
for, when one of them required an update .. it will trigger syncing ;)
won't matter if you follow the link I gave above. If you do that all syncing will stop. If you don't want to read here is the short answer. Connect up your usb cable and allow the first sync to complete. Once its finished right click on Network Neighborhod and get to Network Connections. right click on Local Area Connection 5 Windows Mobile-based Device -> Properties -> configure -> device useage and select Disabled. If you want it back enable it. The link above claimed you can make a shortcut to here but that did not work for me.
I had similar problem where the PDA keep waking up from standby regardless of whether it is cradled or not. I finally realised that it is pocket outlook which I have set it to send/receive every 5 minutes. I unchecked the automatic send/receive option and now it never wake up by itself.
